basal. is a digital product studio offering web design, SaaS development, mobile app development, UI/UX design, and brand identity services. These Terms of Service ("Terms") apply to all visitors of our website and all clients who engage our services.
By accessing our website or entering into a project agreement with us, you confirm that you have read, understood, and agree to these Terms.
basal. provides custom digital services on a project basis. Each engagement is governed by a separate written agreement (proposal, statement of work, or contract) that details scope, timeline, deliverables, and pricing.
We reserve the right to decline any project request at our discretion, without obligation to provide a reason.
All pricing is outlined in the project agreement. Unless otherwise agreed in writing:
All fees are non-refundable except where explicitly stated in the project agreement or required by applicable law.
Upon receipt of full payment, basal. assigns to the client all rights, title, and interest in the final deliverables produced specifically for that project, except for:
basal. retains the right to display completed work in its portfolio and marketing materials unless the client requests otherwise in writing.
By default, basal. may include a small "Built by basal." attribution link in the footer of delivered products. Clients who wish to remove this attribution may do so by requesting a White Label arrangement in writing. A one-time White Label fee will apply, the amount of which will be stated in the project agreement.
To ensure a successful engagement, clients agree to:
Delays caused by the client (including failure to provide feedback or materials) may result in timeline adjustments and additional fees.
Each project agreement specifies the number of revision rounds included. Requests that fall outside the agreed scope, including significant changes to requirements after work has begun, will be quoted separately as change orders and require written approval before implementation.
Where basal. manages hosting on behalf of the client, we target 99.9% uptime for all hosted products. However, basal. cannot be held liable for outages, data loss, or degraded performance caused by third-party infrastructure providers, including but not limited to cloud platforms on which the product is deployed.
Planned maintenance windows will be communicated to the client at least 24 hours in advance. Emergency maintenance required to protect security or stability may be performed without prior notice, with prompt communication to follow.
Some deliverables may integrate third-party APIs, platforms, or services such as AI providers, email delivery services, payment processors, or analytics tools. The client acknowledges that:
Both parties agree to keep confidential any non-public information shared during the engagement ("Confidential Information"). This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
Participation in the basal. affiliate program is subject to additional terms communicated at sign-up. Commission rates are communicated at sign-up and are calculated as a percentage of the initiation fee collected from referred clients, paid on a biweekly schedule.
A commission is considered earned only after the 14-day chargeback and refund window for the referred client's payment has passed without dispute. basal. reserves the right to withhold or recoup commissions in the event that a referred client's payment is reversed, charged back, or refunded for any reason.
basal. reserves the right to modify or terminate the affiliate program at any time with reasonable advance notice to active affiliates.
Either party may terminate a project engagement with written notice. In the event of termination:
If the client elects to terminate after the second project milestone but before final delivery, a Kill Fee equal to 25% of the remaining contract value shall apply in addition to payment for work already completed. This fee compensates for allocated resources, reserved capacity, and work in progress that cannot be repurposed.
To the maximum extent permitted by law, basal. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of our website or services, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising under these Terms shall not exceed the total fees paid by the client in the three months preceding the claim.
Our website and services are provided "as is" without warranties of any kind, express or implied. We do not warrant that our website will be uninterrupted or error-free, or that any specific results will be achieved from use of our services.
These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or a client engagement shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of our website or services following an update constitutes acceptance of the revised Terms.
